Terms of Service
These terms apply to all services provided by OÜ TSVETKOV INFRASTRCTURE. They are supplemented by the individual service agreement signed for each project.
1. Scope of services
Services are provided as one-time, fixed-scope engineering projects: server setup and deployment, system migration, backup configuration and technical audits. We do not operate subscription services, managed services or consumer products.
2. Individual service agreement
Every project is governed by an individual service agreement that defines the deliverables, timeline, milestones, acceptance criteria and the fixed price. Work begins only after both parties have signed it.
3. Prices and payment
- Prices are fixed and agreed in advance in writing.
- Payment is made by bank transfer on completion, or against agreed milestones for larger projects.
- Card payments and recurring billing are not accepted.
- Prices are stated exclusive of VAT. VAT is added where applicable. For VAT-registered business clients in other EU member states the reverse-charge mechanism applies.
4. Client obligations
The client provides timely access to systems, accurate information about the existing environment, and a named contact person for decisions. The client is responsible for holding valid licences for its own software and for authorising any planned maintenance window.
5. Third-party infrastructure
Computing resources are procured from third-party providers on the client's behalf and configured by us. Provider terms and service levels apply to those resources. We are not responsible for outages, price changes or policy changes on the provider side.
6. Acceptance and handover
On completion we deliver documentation, access details and a work summary. The project is considered accepted when the agreed acceptance criteria are met. After handover the environment is fully owned and operated by the client.
7. Liability
Liability is limited to the amount actually paid for the specific project. We are not liable for indirect or consequential losses, including loss of profit or loss of data, except in cases of intent or gross negligence. Nothing in these terms limits liability that cannot be limited under Estonian law.
8. Confidentiality
Both parties keep confidential information received from the other party secret and use it only for the purposes of the project. A standard mutual non-disclosure agreement is available on request.
9. Governing law and disputes
These terms are governed by the law of the Republic of Estonia. Disputes that cannot be settled by negotiation are resolved by Harju County Court in Tallinn, Estonia.
